SIR’L SERVICE PROPOSAL:


SIR'L shall provide progressive sales force build-up and organizational development consulting services to Client on a base Retainer plus Performance Fee format as hereinafter outlined in connection with Client's overall development objectives and initial sales force development project & expansion pursuits anticipated as follows:

Proposed/Anticipated Sales Force Build-Up Project Type & Size: (select from choice 1 thru 5 and fill in proposed/anticipated project type & size as applicable from list below):

Project-type #2- |__| 3-5 man Sales Crew development project/pursuits

Project-type #3- |__| 6-12 man Sales Department development project/pursuits

Project-type #4- |__| 12-24 man Marketing Division development project/pursuits

Project-type #5- |__| 25-50 (or more) man Marketing Group devlpmt project/pursuits

The proposed/anticipated project type & size for the purpose of this arrangement shall be as hereinafter indicated by client in the data fill in section below.

Organizational development consulting and project coordination, recruitment, training, and supervision & management support services as needed, subject to Client's devlopment project pursuit objectives and recruitment approach decisions, shall be available and provided to Client as follows:

*** 1- Firstly, the initial review of circumstantial factors and development feasibility assessments, plus the Organizational Development and Recruitment Planing, Project Budgeting and Systems Organizing & Coordination functions as needed progressively...

*** 2-Secondly, the actual Sales Representative Recruitment & Training functions as possible and as authorized by Client...

*** 3-Thirdly, the weekly Sales Rep Activity Monitoring & Supervision functions progressively as authorized by Client, plus periodic Motivation and Human Relations and Sales Group Management support functions as needed.

EFFECTIVE STARTING DATE:


The proposed starting date of this service arrangement shall be the month, day, and year hereinafter indicated by client below on this proposal & retainer arrangement and online sign-up form, unless otherwise mutually agreed by the parties hereto, at which time the initial assessment & consulting session shall be conducted.

BASE RETAINER FEE:


A base Retainer Fee in the maount listed below coinciding with proposed project type & size indicated above, shall be due & payable to SIR'L in full on or before the proposed starting date of this service arrangement, or shall be payable in 3 equal monthly installment, with the first installment due in in advance upon or prior to said effective starting date, and the next 2 consecutive installments due 30 days apart, one after the other, as requested or billed by SIR'L. Said amount shall be non-refundable to Client and shall be applicable to the initial review & assessment session plus other areas such as Organizational Development and Recruitment Planing, Project Budgeting and Systems Organizing & Coordination functions as indicated (under service area #1 description) above.

Retainer Fee applicable: (coinciding with proposed/anticipated project number selected from above)

Project-1 Retaioner- |__| $5400.00, due & payable as requested or billed - either in full in advance upon or prior to effective starting date, or in 3 mothly installments of $1800 starting upon execution. (re: 2-3 man Sales Team development pursuits)

Project-2 Retaioner- |__| $9000.00, due & payable as requested or billed - either in full in advance upon or prior to effective starting date, or in 3 mothly installments of $3000 starting upon execution. (re: 3-5 man Sales Crew development pursuits)

Project-3 Retaioner- |__| $21,600.00, due & payable as requested or billed - either in full in advance upon or prior to effective starting date, or in 3 mothly installments starting with $7200 upon execution, then two more consecutive installments of of $7200 each. (re: 6-12 man Sales Department development pursuits)

Project-4 Retaioner- |__| $43,200.00, due & payable as requested or billed - either in full in advance upon or prior to effective starting date, or in 3 mothly installments of $14,400 starting upon execution. (re: 12-24 man Marketing Division development pursuits)

Project-5 Retaioner- |__| $90,000.00, due & payable as requested or billed - either in full in advance upon or prior to effective starting date, or in 3 mothly installments of $30,000 starting upon execution. (re:25-50 man/or-more Marketing Group devlpmt pursuits)

PLUS PROGRESSIVE PERFORMANCE FEES:


Progressive Performance Fees shall be due in addition to the base Retainer indicated above. Said Performance Fees shall be payable to SIR'L by Client as requested and/or billed by SIR'L upon completion of related functions. Perfomance Fees due & payable as follows:

a) |__| Flat fee of $1350.00 per Sales Rep recruited- due & payable as requested or billed by SIR'L upon execution of each Sales Rep Agreement and/or verbal recruitment of each Sales Rep as authorized for and on behalf of Client.

b) |__| Flat fee of $900.00 per Sales Rep trained - due & payable as requested or billed by SIR'L upon completion of initial training of each Sales Rep as authorized for and on behalf of Client.

c) |__| Flat fee of $450.00 per month per Sales Rep monitored- due & payable monthly as requested or billed by SIR'L for support services indicated above in relations to active Reps.

ANY TRAVEL & LODGING EXPENSES SHALL BE PAYABLE BY CLIENT: Any Travel & Lodging Expenses incurred by Consultant in connection with out-of-town client/accounts any where outside of Southern California region shall be payable by Client directly as incurred by Consultant, subject to individual arrangements as may be necessary regarding same.

NOTE: Progressive Performance Fees indicated above shall also be applicable to any periodic Rep replacements and/or progressive additions to sales force past initial number of Sales Rep recruitments anticipated.

MISCELLANEOUS OTHER TERMS & CONDITIONS:


1- Term Of Service Agreement: The initial term of this service arrangement shall be for a period of ninety (90) days, commencing on the effective starting date previously specified herein and ending exactly ninety (90) days from said starting date, however said term shall automatically be extended on each ninety (90) day anniversary date and renew for an aditional ninety (90) days on each anniversary date unless otherwise terminated by either or both of the parties hereto by mutual agreement or by either party giving verbal or written notice of reasonable cause to the other of termination and non-renewal thereof. This service arrangement may also be cancelled during the initial or any subsequent ninety (90) day term by mutual agreement of the parties hereto.

2- Expenses & Related Warranty: Client shall be directly liable to pay or reimburse SIR'L in full for any traveling, lodging, and any and all other expenses that may be incurred by SIR'L in the course of services provided on behalf of Client hereunder, subject to Client's prior authorization and approval of same. It is hereby further acknowledged and understood that any and all recruitment advertising, lead costs, and other development project expenses incurred by Client in the course of the development & recruitment project pursuits aniticpated hereunder shall be the direct and sole liability of Client, and in that regard, Client hereby indemnifies and warrants to hold SIR'L harmless from the claims of any and all third parties, if any, regarding same.

3- Service Performance Flexibility & Indemnifications: SIR'L service functions shall vary in accordance with project pursuit requirements ranging from organizing & consulting, interviewing, processing, training, motivating, as well as supervising and other support functions as needed under what ever title authorized by Client; and in that regard, the parties hereto agree and acknowledge that SIR'L shall perform any and all services required for and on behalf of Client hereunder in a diligent manner to the best of its ability and SIR'L shall not be liable for anything done or omitted by it, nor by any of its associates, under the terms hereof, so long as it has acted in good faith. The parties hereto further mutually agree and acknowledge that SIR'L shall be acting directly for and on behalf of Client in the performance of services hereunder and Client hereby assumes any and all responsibilities and liabilities regarding sames; and furthemore in that regard, any and all such functions, actions, decissions, and services performed by SIR'L and/or its managing director or any associate representatives of SIR'L as authorized by and on behalf of Client hereunder shall bave the same force and effect as and if performed by Client.

4- Any Additional Service Requests: Additional services that may be requested by Client from time to time shall be available to Client as possible, in connection with any other business & financial areas of SIRL's expertise in addition to service areas previously described herein and any additional consulting or specific project services that are within the realm of SIR'L service capacity, subject to SIRL's standard hourly fees or contract rates as may be applicable in accordance with SIRL's Standard Fee Schedule ranging from $27 to $135 per hour in connection with administrative & processing related functions and $125 to $450 or more per hour regarding consulting and project coordination related services, depending on category of functional requirements.

5- Confidentiality: Due to the potentially sensitive nature of certain subjects that may need to be reviewed and discussed by the parties in the course of service/conferences hereunder, the parties hereto acknowledge that any and all such sensitive matters should be held in the strictest of confidence by and between the parties hereto. As a consequence thereof, unless otherwise authorized by client, SIR'L shall continuously practice and maintain its high standard of confidentiality pertaining to the financial, business, and organizational matters exposed to SIR'L by client in the course of the relationship created herein, and unless otherwise authorized by SIR'L, client hereunder shall maintain utmost confidentiality as required by SIR'L with respect to any SIR'L devlopment materials and key formulas, systematic forms & frameworks, functional worksheets, and miscellaneous activity systems & processes that Client may be exposed to as a consequence of the relationship herein created by and between the parties hereto.

6- Clarifications And Additional Terms & Conditions: Clarifications and additional terms & conditions, if any, may be detailed in a "Service Arrangement Clarification Supplement(s)" outline if deemed necessary by the parties, particularly if client's expected needs for SIR'L services throughout the term of this agreement far exceeds the time frames and service areas heretofore outlined, and thereupon an executed copy of said "Service Arrangement Clarification Supplement(s)" shall be attached hereto and made a part hereof to broaden the client/account relationship perspectives and further clarify compensation & billing aspects and miscellaneous conditions & covenants that have a direct bearing on the expanded relationship that results if client utilizes a reasonable amount of additional SIR'L service time for various financial & business tasks as they come up and periodically retains additional services regarding specific projects.
